The Role: Founding General Counsel


We are seeking a formidable legal and strategic partner to join the founding team. As Founding General Counsel, you will be the architect of the legal framework that enables our entire strategy.

This mandate extends beyond conventional corporate law. Your department will:



  • Execute the legal and transactional architecture for all acquisitions, from initial structuring to final integration.
  • Add your expertise to various risk management tools (eg. Monte Carlo Simulations)
  • Anticipate, plan, and execute litigation involving various stakeholders.
  • Pioneer novel legal frameworks for complex scenarios including debt-equity swaps, insolvency proceedings, and shareholder activism.
  • Act as the key architect in adapting our strategy to the specific nuances of Quebec’s legal and commercial landscape.
  • Coordinate with our external M&A and insolvency counsel for maximal strategic alignment.
  • Establish proper governance frameworks to mitigate frictions and conflicts of interests.
  • Lead compliance oversight and participate in enterprise risk management.

Success in this role requires commercial judgment, tolerance for ambiguity, combined with intellectual vitality to navigate uncharted territory.

  • Fluency in French
  • Specialization in corporate litigation
  • Exposure to M&A, private equity, insolvency, or structured finance
  • Working knowledge of accounting/corporate finance
  • Experience with cross-functional strategies
  • Knowledge of municipal regulations (public health, zoning, bill 96..)
